Please read these Terms of Use ("Terms") carefully before accessing or using Keytomic (the "Service"). By accessing or using any part of the Service you ("User," "you," or "your") agree to be legally bound by these Terms. If you do not agree to all of the Terms, you must not access or use the Service.

1. Definitions

In these Terms, "Keytomic," "we," "us," and "our" refer to “Keytomic”

The "Service" means the website keytomic.com, any associated application, dashboard, content planning tools, publishing tools, reporting features, audits, integrations, and related services we make available.

"User Contribution" means any text, prompt, brand information, website data, keyword list, credentials, URLs, files, or other materials you submit or connect to the Service.

"Subscription" means any paid plan purchased through the Service, including any trial that converts into a paid plan.

2. Acceptance of Terms and Service Changes

By accessing or using the Service, you agree to these Terms. If you do not agree, you must not use the Service.

We may update these Terms from time to time. If we make a material change, we will post the updated Terms and, where reasonably practicable, provide advance notice by email or in-app before the changes take effect.

We may also improve, modify, suspend, or discontinue parts of the Service. Where feasible, we will provide reasonable notice for material changes that negatively affect active users.

3. Eligibility and Account Responsibilities

You represent that you are at least 18 years old and legally able to enter into a binding agreement.

You are responsible for keeping your login credentials secure and for all activity that occurs under your account.

You must ensure that any website, CMS, analytics account, or third-party service you connect to Keytomic is one you are authorized to use.

4. License and Intellectual Property

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

The Service, including its software, branding, design, workflows, and non-user content, is owned by Keytomic or its licensors and protected by intellectual property law.

You may not copy, resell, sublicense, reverse engineer, or misuse the Service except as expressly permitted by law.

5. User Content and Service Use

You retain ownership of your User Contributions.

You grant Keytomic a limited, non-exclusive, worldwide license to host, process, store, reproduce, and display your User Contributions only as needed to operate, maintain, secure, support, and improve the Service for you.

Unless separately disclosed in our Privacy Policy or a data-processing agreement, we will not sell your submitted content to third parties.

You must not submit or publish content through the Service that is unlawful, infringing, defamatory, deceptive, malicious, or in violation of third-party platform rules.

6. Data Protection and Privacy

Your use of the Service is also governed by our Privacy Policy.

If you connect third-party services such as WordPress, Shopify, Webflow, Framer, or Google Search Console, you authorize us to access the relevant data needed to provide the features you enable.

Where required by applicable law, the parties may enter into a data processing agreement for personal data processed on your behalf.

You remain responsible for ensuring that your use of the Service, including the data you submit, complies with applicable privacy and data protection laws.

7. Acceptable Use

You agree not to use the Service for unlawful, deceptive, abusive, or fraudulent purposes.

You agree not to disrupt the Service, attempt unauthorized access, scrape restricted areas, or use bots or scripts except through approved interfaces.

You agree not to use the Service to publish spam, malware, impersonation content, or material that violates search-engine rules or third-party terms.

8. Content Generation, Publishing, and SEO Disclaimers

8.1 Automated workflows and publishing: Keytomic may help you research, draft, schedule, optimize, and publish content to connected platforms. When you enable these features, the Service acts on your instructions. You remain responsible for what is ultimately published under your brand or on your properties.

8.2 Search performance and ranking risk: We do not guarantee rankings, traffic, citations, conversions, revenue, or search-engine placement. Search platforms and AI-answer systems change frequently, and outcomes will vary.

8.3 Content review and factual checks: Keytomic is designed to support publication-ready, human-sounding content through automated workflows and review-friendly drafting. Even so, automated outputs can still include mistakes, omissions, outdated claims, attribution issues, or unsupported statements. You should review and approve content before publication, especially where facts, claims, statistics, legal statements, medical statements, or brand-sensitive messaging are involved.

8.4 No professional advice: Any recommendations, audits, or SEO insights provided through the Service are for general informational purposes only and do not constitute legal, financial, tax, or other professional advice.

9. Trial, Billing, Renewals, and Refunds

9.1 Trial Period: We offer an introductory trial for $1 ("Trial") for a period of 3 days from the date of first sign-up. The Trial gives you full access to the Service's core features.

At the end of the Trial period, your account will automatically upgrade to a paid monthly Subscription at the then-current plan rate unless you cancel before the Trial period ends. By starting the Trial, you authorise us to charge your payment method the applicable Subscription fee automatically at the end of the Trial period. You may cancel during the Trial via Account Settings with no further charge.

9.2 Subscriptions & Auto-Renewal: Subscriptions are billed monthly or annually in advance. Your Subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. By subscribing, you authorise us to charge your payment method on each renewal date. We will send a renewal reminder by email at least 7 days before each renewal date.

9.3 Price Changes: We will give you at least thirty (30) days' advance written notice by email of any change to your Subscription price. If you do not accept the new price, you may cancel your Subscription before the new price takes effect. Continued use of the Service after the new price takes effect constitutes acceptance of the price change.

9.4 Payment Processing: Payments are processed by third-party payment providers. We do not store or have access to your full payment card details. We are not responsible for errors or failures of payment processors, though we will work with you to resolve any billing issues.

9.5 Refund Policy: Subscribers may request a refund subject to all of the following conditions being met:

• You have generated no more than one (1) article during the refund window.

• You have not consumed ten percent (10%) or more of your plan's included usage allowance of any metered feature (including content generation credits, backlink credits, or any other unit-based allocation).

• You provide specific written feedback explaining the reason for your refund request.

• Annual subscriptions are offered for users who choose to make a longer-term commitment to the platform, reflecting an established level of confidence in the service. For this reason, once an annual plan is activated, it is treated as final, and the standard refund policy does not apply to yearly subscriptions.

To request a refund, contact hi@keytomic.com. Refunds are processed within 5–10 business days.

10. Suspension and Termination

You may cancel your Subscription at any time through your account settings or by contacting us. Unless otherwise stated, cancellation takes effect at the end of the current billing period.

We may suspend or terminate access if you materially breach these Terms, misuse the Service, create security risk, fail to pay applicable fees, or where necessary to comply with law.

Where we terminate your account without cause, we will handle any prepaid unused period in accordance with applicable law and any stated refund commitments.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" to the fullest extent permitted by law.

We do not warrant that the Service will be uninterrupted, secure, error-free, or compatible with every third-party platform at all times.

We do not warrant that automated content, recommendations, reports, or audit findings will always be complete, accurate, original, or suitable for every use case.

12. Third-Party Services and Integrations

The Service may rely on or connect with third-party platforms, including content-management systems, analytics providers, search tools, and payment providers.

We are not responsible for the availability, policy changes, outages, access restrictions, or independent actions of third-party services.

Your use of those third-party services remains subject to their own terms and policies.

13. Limitation of Liability

To the fullest extent permitted by law, Keytomic will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, or business interruption arising from or relating to the Service.

To the fullest extent permitted by law, our total aggregate liability for claims arising out of or relating to the Service or these Terms will not exceed the amount paid by you to Keytomic in the 12 months before the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

14. Indemnity

You agree to indemnify and hold harmless Keytomic, its officers, employees, affiliates, and service providers from claims, losses, liabilities, and expenses arising from your unlawful use of the Service, your breach of these Terms, or your content and publishing activity, except to the extent caused by our own negligence, fraud, or willful misconduct.

15. Governing Law and Disputes

These Terms and any dispute arising from or related to them will be governed by and construed in accordance with the laws applicable in our principal place of business, without regard to its conflict‑of‑law principles. The courts located in that jurisdiction will have exclusive jurisdiction over all disputes not subject to arbitration.

Before starting formal proceedings, the parties will try in good faith to resolve disputes informally by email for at least 30 days.

Any formal dispute-resolution process, arbitration requirement, venue, or court jurisdiction should be completed only after Keytomic inserts its actual governing jurisdiction and obtains legal review.

16. Affiliate Terms

If Keytomic operates an affiliate program, additional affiliate terms may apply.

Affiliates may not bid on Keytomic branded terms or misleading variants in paid search, misrepresent the Service, or use deceptive marketing methods.

Keytomic may withhold or reverse affiliate payouts arising from fraud, self-referrals, refunded transactions, or other policy violations.

17. General Terms

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

A delay or failure to enforce a provision is not a waiver of that provision.

These Terms, together with the Privacy Policy, Refund Policy, and any order or checkout terms, form the entire agreement between you and Keytomic regarding the Service.
